1. Agreement

These Terms of Use ("Terms") govern access to and use of the Turnwave websites, applications, and related services (collectively, the "Service") provided by Turnwave ("we", "us"). By creating an account, submitting a registration request, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business.

2. The Service

Turnwave offers tools for merchants to manage appointments and related workflows, including notifications to customers (for example via messaging channels you configure). Features may evolve; we may add, change, or discontinue functionality where we have a legitimate reason, subject to any mandatory rights you have under applicable law.

3. Merchant accounts and approval

New merchant accounts may be subject to manual review before activation. We may refuse or suspend registration where necessary for legal, security, or fraud-prevention reasons. You agree to provide accurate information and to keep it up to date.

4. Fees and billing

Unless otherwise agreed in writing, the subscription fee for a merchant account is €8 per month, plus applicable VAT or other sales taxes. Billing cycles, payment methods, and invoicing details will be confirmed at signup or in your order flow. Failure to pay may result in suspension or termination of access.

5. Acceptable use

You must not:

• use the Service in violation of law or third-party rights;
• send unlawful, misleading, or unsolicited communications (spam);
• attempt to gain unauthorised access to the Service, other accounts, or our systems;
• interfere with or disrupt the integrity or performance of the Service.

We may investigate violations and suspend or terminate accounts where appropriate.

6. Your content and data

You retain rights to content and data you provide. You grant us a limited licence to host, process, transmit, and display such content solely to provide and improve the Service and as described in our Privacy policy. You are responsible for obtaining any consents or rights needed from your customers.

7. Availability and support

We aim to operate the Service reliably but do not guarantee uninterrupted or error-free availability. Maintenance, third-party outages, or events beyond our reasonable control may affect the Service. Support channels, if any, will be as communicated on our website or to your account email.

8. Disclaimer and limitation of liability

To the fullest extent permitted by applicable law, the Service is provided "as is" without warranties of any kind, whether express or implied. We are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory law (including liability for death or personal injury caused by negligence, or fraud).

9. Term and termination

You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, if required by law, or for extended non-payment. Provisions that by their nature should survive (including payment obligations accrued, intellectual property, and liability limits where enforceable) will survive termination.

10. Governing law

These Terms are governed by the laws of Germany, without regard to conflict-of-law rules. Courts in Germany shall have exclusive jurisdiction, subject to any mandatory rights you have as a consumer to bring proceedings in your country of residence.
